Orbit Order Partner Terms
1. What Orbit Order is
Drivers using Orbit SI can order from your locations ahead of time, by voice or by tapping, and pick the order up when they arrive. Orbit reads every order back to the driver and only sends it after the driver says yes. The order reaches your team through the ordering system you already use, with the pickup time set to the driver's arrival.
In short: drivers order from you on the way, and you have it ready when they pull in.
2. Orders and payment
Orders are paid when they're placed. On Square, the payment is made through your Square account, so the order and the money for it are yours, the same as any other Square sale. The driver pays your menu prices, the tax your system adds, and Orbit's Interstellar fee (section 3); you pay Orbit's store fee (section 4). Your prices, items, sizes, options and what's available come from your menu; you're responsible for keeping them accurate. You agree to make and hand over orders that are paid for and on time, or, if you can't, to cancel and refund them promptly.
Your payment processor charges its normal card fee on each payment, as it does on your other sales. You cover those card fees; they're separate from Orbit's fees and never come out of them.
In short: the order and its money are yours; you make it and hand it over.
3. The Interstellar fee
Orbit charges drivers a service fee for ordering ahead, called the Interstellar fee. It is paid by the driver, on top of the order. It is never taken out of your prices or your share of the sale.
- Amount: $0.99 when the items in the order come to under $10 before tax, and $2.00 when they come to $10 or more.
- Shown up front: Orbit shows the fee and says it to the driver before they confirm, and it appears as its own line on the order and the receipt, named "Interstellar fee (Orbit service)". It is not part of your sale price and isn't added to your menu prices.
- How Orbit receives it: when your account allows it (on Square, the permission to send part of a payment to another account, which Orbit asks for when you connect), the fee goes straight to Orbit when the order is paid and never reaches your account. If it doesn't, because that permission isn't granted or your ordering system takes the payment, the fee is collected with the order, you hold it for Orbit, and Orbit sends you an itemized statement each month. Payment is due within 30 days of the statement.
- Refunds: if an order is canceled before your team starts it, the driver gets everything back, the fee included, and Orbit returns its share. If you refund a whole order later, the fee is refunded with it and Orbit returns its share or removes it from your statement. A partial refund doesn't change the fee.
- Changes: Orbit may change the fee's amount with at least 30 days' notice by email. A change never applies to orders already placed.
In short: drivers pay a small fee to Orbit, 99¢ or $2, shown before they order; it doesn't come out of your money.
4. Orbit's store fee: 5%
For each Orbit order, you pay Orbit 5% of the items (what the food, drinks and goods come to before tax, after any discounts). There is no fixed per-order charge and nothing monthly.
- Card fees: your payment processor's card fee on the order is yours to cover, as on your other sales. It is not part of the 5% and is never taken from Orbit's fees. Many stores set their Orbit prices to cover these costs.
- How Orbit receives it: the same way as the Interstellar fee (section 3): sent to Orbit when the order is paid, or on your monthly statement.
- Refunds: when an order is canceled or fully refunded, the store fee is refunded too.
- Changes: Orbit may change the store fee with at least 30 days' notice by email. A change never applies to orders already placed.
There's no other fee, commission or monthly charge to you for Orbit Order under these terms. Paid features you choose separately, such as business pins on Orbit's map, have their own agreements.
In short: 5% of the items per Orbit order, plus your usual card fee. Nothing else.
5. Your brand and menu
You give Orbit a non-exclusive, royalty-free license, while these terms are in effect, to show your name, logo, locations, menu, item photos and descriptions in the Orbit SI app, on CarPlay and on Orbit's web pages, for taking and showing orders. You keep all ownership of them. We won't use them in Orbit's own advertising, or suggest you endorse Orbit, without your separate written permission. You confirm you have the right to give this license (if you're a franchisee, your franchisor allows it).
6. Drivers' privacy
For each order you receive what you need to make it and hand it over: the items, the driver's first name, the pickup time, and notes the driver adds (for example their car). Orbit never gives you drivers' routes, locations or other personal information. You agree to use what you receive only to fill and support the order, and not for marketing unless the driver separately agrees to it with you.
Anonymous totals. If Orbit gives you anonymous totals about drivers (for example, how many drivers visit a kind of business, or which other businesses they also visit), you receive only figures with 10 or more drivers behind them. You agree not to try to identify any driver, household or device from them, alone or combined with other data; not to work out smaller counts from them; not to infer visits to health, religious, school or other sensitive places; not to use them to target ads or decisions at any one person; to share them only under these same terms; to stop using, and tell us within 72 hours about, any figure you find could identify someone; and to delete them when this agreement ends.
7. Ending
You can stop taking Orbit orders anytime, by turning ordering off or disconnecting your ordering system from Orbit; orders already paid for are still yours to fill or refund. We can stop sending you orders, with notice by email, if you break these terms or if we stop offering Orbit Order. Sections 3 and 4 (for fees already owed), 6, 8 and 9 continue after these terms end.
8. Responsibility
You're responsible for your products, how they're made and handed over, and your menu and prices, and you will defend and hold harmless Fort Detroit Logistics LLC and its members from claims by others arising from them, including reasonable legal fees. Orbit Order is provided "as is". To the extent the law allows, Orbit isn't liable for indirect, incidental, special or consequential damages, or lost profits, and our total liability under these terms is limited to the fees Orbit received from your orders in the three months before the claim.
9. Changes and general
We may update these terms. We'll email you at least 30 days before a change that affects you takes effect; if you don't agree, you can stop taking Orbit orders before then. The version number and date at the top tell you which version applies. These terms are governed by the laws of the State of Michigan, and any dispute will be resolved in the state or federal courts located in Wayne County, Michigan. If a part of them can't be enforced, the rest still applies. A signed partner agreement with Orbit takes priority over these terms where they differ.
